Terms of Use

Effective as of the date of purchase. Last updated June 2026. LeaseDesk Commercial Landlord's Handbook.

These Terms of Use (the "Terms") govern your purchase and use of the LeaseDesk Commercial Landlord's Handbook (the "Kit"), a digital product offered by LeaseDesk ("LeaseDesk," "we," "us," or "our"). By purchasing, downloading, or using the Kit, you ("you" or "Licensee") agree to be bound by these Terms. If you do not agree, do not purchase, download, or use the Kit. You represent that you are of legal age and have the capacity to enter into these Terms, and, if you purchase under the Agency License tier on behalf of a firm, that you have the authority to bind that firm to these Terms.

License Scope

Subject to your compliance with these Terms and payment of the applicable fee, LeaseDesk grants you a limited, single-user, perpetual, non-exclusive, non-transferable, non-sublicensable license to use the Kit solely in connection with commercial real estate properties that you own, manage, or operate.

"Single-user" means one named individual. The license does not extend to your firm, employees, agents, contractors, accountants, or any other person. Each user requires a separately purchased license.
"Perpetual" means the license to use the version of the Kit you purchased ("v1") continues indefinitely, subject to termination under these Terms. No subscription or recurring fee applies to v1.
"Non-transferable" means you may not sell, assign, sublicense, gift, lend, lease, or otherwise transfer the Kit or your license, in whole or in part, to any third party, whether or not you continue to use the Kit. The license is personal to the purchaser of record.

Permitted Use

Subject to these Terms, you may do the following with the Kit in connection with your own properties:

Customize and edit any template, calculator, checklist, or guide to fit your specific transactions.
Execute leases and other agreements that you have drafted using the kit's templates as a starting point.
Print the kit, save it locally, store it on your own backup drives.
Reference the kit in your day-to-day operations.

You may share executed or filled-in agreements with the counterparties and professional advisors to that specific transaction (including tenants, legal counsel, brokers, and accountants), as that is the intended use of the templates. For clarity, what may be shared is your completed work product, not the underlying template, calculator, or any other component of the Kit.

What's Not Permitted

You shall not, and shall not permit any third party to, do any of the following:

Resell, sublicense, or otherwise commercialize the Kit, in whole or in part;
Redistribute, publish, or otherwise make the Kit available to any third party, whether for consideration or free of charge;
Share the Kit with employees, partners, colleagues, contractors, or any other person, regardless of affiliation;
Upload, post, or store the Kit, in whole or in part, on any public or private file-sharing service, marketplace, cloud drive, code repository, or other location accessible to anyone other than the licensed user;
Use the Kit, or any portion of it, to develop, train, or offer any competing product, course, training program, content offering, or machine-learning model;
Remove, alter, or obscure any LeaseDesk branding, copyright notice, trademark, or attribution contained in any file in the Kit; or
Use the Kit in any manner if you obtained it without a valid paid license issued by LeaseDesk.

Sharing the Kit with any person who has not separately purchased a license constitutes a material breach of these Terms and grounds for immediate termination under the Termination section below.

Agency License

(Applies Only to Agency License Tier Purchasers)

If you purchased the Agency License tier, the License Scope and What's Not Permitted sections above are modified as set out below, and this section controls to the extent of any conflict. All other provisions of these Terms continue to apply.

Scope. LeaseDesk grants you a limited, perpetual, non-exclusive, non-transferable, non-sublicensable commercial-use license to use the Kit in connection with commercial real estate properties that you own, manage, or operate, and on behalf of your clients in the ordinary course of your property management, brokerage, or advisory business.
Authorized users. The license extends to you and to the employees and contractors of your firm acting on the firm's behalf, provided the Kit is used solely within your firm. The Kit may not be shared with, or made accessible to, any person or entity outside your firm.
Client deliverables. You may prepare, customize, and deliver completed agreements, calculations, and other work product to your clients and to the counterparties of a specific transaction. You may not provide or make available to any client or third party the underlying templates, calculators, guides, or any other component of the Kit itself, whether blank or populated, except as a completed, transaction-specific work product.
Still prohibited. The Agency License does not permit you to resell, sublicense, republish, or otherwise commercialize the Kit as a product, to distribute its components as templates, or to use the Kit to develop a competing product. All restrictions in What's Not Permitted that are not expressly modified by this section continue to apply.
Automation tools. As part of the Agency License for the edition you purchased, LeaseDesk intends to make the LeaseDesk Automation Suite available to Agency License holders as its tools are released during that edition's lifecycle, licensed under these same Terms. This does not entitle you to any separately-marketed product, or to any future major version (for example, v2) of the Kit or of the automation tools, which may be offered at additional cost in accordance with the Updates and Versioning section of these Terms. LeaseDesk does not guarantee any specific tool, feature, or release timing, and may add, modify, or discontinue tools at its discretion.

For clarity, the Refund Policy, Limitation of Liability, Indemnification, and all other provisions of these Terms apply to Agency License purchasers without modification.

Not Legal or Financial Advice

The Kit is provided for informational and educational purposes only. It does not constitute, and is not a substitute for, legal, financial, accounting, tax, insurance, or other professional advice. No attorney-client, advisor-client, fiduciary, or other professional relationship is created between you and LeaseDesk by your purchase or use of the Kit.

Commercial leasing is jurisdiction-specific. Applicable laws affect enforceability, required disclosures, and procedural requirements. Every lease, notice, and transaction prepared using the Kit should be reviewed by a qualified professional licensed in the jurisdiction where the relevant property is located. The Kit is intended to assist, not to replace, qualified professional review.

You acknowledge and agree that you will engage qualified legal counsel before executing any agreement prepared using the Kit, and will engage a qualified accountant or financial advisor before relying on any financial calculator in the Kit for actual decision-making.

Assumption of Risk

You acknowledge and agree that commercial real estate transactions are complex, jurisdiction-specific, and carry significant legal and financial risk. By purchasing, downloading, or using the Kit, you knowingly, voluntarily, and irrevocably assume all risk associated with the Kit and any use you make of it, including any agreement you draft, execute, or rely on. You agree that LeaseDesk has no responsibility or liability for any outcome, decision, or consequence arising from your use of the Kit, and you waive, release, and forever discharge LeaseDesk and all Indemnified Parties from any and all claims, demands, and causes of action, known or unknown, that you now have or may in the future have arising out of or relating to the Kit, to the maximum extent permitted by applicable law.

Limitation of Liability

THE KIT IS PROVIDED STRICTLY "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT WARRANTY OR CONDITION OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEASEDESK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, DURABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND COMPLIANCE WITH THE LAWS OF ANY JURISDICTION. LEASEDESK MAKES NO REPRESENTATION OR WARRANTY THAT THE KIT WILL MEET YOUR REQUIREMENTS, BE ERROR-FREE OR UNINTERRUPTED, OR PRODUCE ANY PARTICULAR RESULT. YOU USE THE KIT ENTIRELY AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LEASEDESK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES OR LOSSES OF ANY KIND WHATSOEVER, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOST RENT, LOST DEALS, MISSED DEADLINES, REGULATORY PENALTIES, FINES, PROFESSIONAL FEES, LEGAL FEES, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF REPUTATION, OR ANY OTHER LOSS OR HARM, ARISING OUT OF OR IN ANY WAY RELATING TO THESE TERMS, THE KIT, YOUR USE OR INABILITY TO USE THE KIT, ANY AGREEMENT OR DOCUMENT YOU PREPARE OR EXECUTE USING THE KIT, OR ANY DECISION YOU MAKE IN RELIANCE ON THE KIT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND WHETHER OR NOT LEASEDESK HAS BEEN ADVISED OF, OR COULD HAVE FORESEEN, THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING EXCLUSIONS AND LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEASEDESK'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE KIT, FROM ALL CAUSES OF ACTION AND UNDER ALL THEORIES OF LIABILITY, WILL NOT EXCEED ONE CANADIAN DOLLAR (CAD $1.00). IF APPLICABLE LAW PROHIBITS A LIABILITY CAP AT THIS AMOUNT, LEASEDESK'S TOTAL AGGREGATE LIABILITY WILL BE LIMITED TO THE LESSER OF (A) THE AMOUNT YOU ACTUALLY PAID TO LEASEDESK FOR THE KIT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) THE MINIMUM AMOUNT PERMITTED BY APPLICABLE LAW.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE KIT IS A TOOL, THAT YOU ARE SOLELY RESPONSIBLE FOR HOW YOU USE IT AND FOR ALL RESULTS, DECISIONS, AND CONSEQUENCES ARISING FROM SUCH USE, AND THAT YOU ASSUME ALL RISK ASSOCIATED WITH THE KIT. YOU FURTHER ACKNOWLEDGE THAT THE PRICE PAID FOR THE KIT REFLECTS THIS ALLOCATION OF RISK AND THAT LEASEDESK WOULD NOT MAKE THE KIT AVAILABLE WITHOUT THESE LIMITATIONS.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, LeaseDesk's liability is limited to the maximum extent permitted by applicable law.

Jurisdiction and Local Law

The Kit is drafted in jurisdiction-neutral language where reasonably possible and is intended to be portable across markets. Every clause, calculator, and document in the Kit is a starting point that you must adapt to the laws of the jurisdiction where the relevant property is located.

You are solely responsible for ensuring that any agreement you execute using the Kit complies with the laws applicable in the relevant jurisdiction. If you are uncertain whether a clause is enforceable or appropriate in your jurisdiction, you must consult qualified legal counsel licensed in that jurisdiction.

These Terms do not designate a governing law for the contract between you and LeaseDesk. Absent such designation, the conflict-of-laws rules of the jurisdiction in which you purchased the Kit will determine the applicable law.

Refund Policy

You may request a full refund within fourteen (14) days of the date of purchase by emailing support@leasedesk.co with your order number and refund request. Refund requests submitted within the 14-day window will be honoured in full.

Upon processing of a refund, your access to the Kit's download link will be revoked and your license to use the Kit will automatically terminate. You agree to promptly delete all copies of the Kit in your possession or control and not to retain or use any portion of the Kit thereafter.

After the 14-day window has elapsed, all sales are final and no refunds will be issued, except where required by applicable law. LeaseDesk may decline a refund request where there is evidence of abuse of this policy, including repeated purchase-and-refund cycles or continued use or distribution of the Kit after a refund.

Updates and Versioning

Major version updates (e.g., v2, v3) may be released and priced separately at LeaseDesk's discretion. If a major version is released, existing v1 licensees will be notified and offered upgrade pricing. LeaseDesk will not compel you to upgrade and will not terminate your v1 license on account of a subsequent release.

Intellectual Property

As between you and LeaseDesk, LeaseDesk owns all right, title, and interest in and to the Kit, including all copyrights, trademarks, trade secrets, and other intellectual property rights in the copy, layouts, designs, templates, calculators, guides, and supporting materials. Your purchase grants only the limited license set out in these Terms and does not transfer any ownership rights in the Kit.

You retain all rights to the documents and work product you create using the Kit (including your executed leases, financial models, and tenant correspondence). The underlying templates, formulas, structure, and other components of the Kit remain the exclusive property of LeaseDesk.

"LeaseDesk" and the LeaseDesk wordmark are trademarks of LeaseDesk. Any use of the LeaseDesk name, logo, or branding outside the Kit requires LeaseDesk's prior written permission.

Proof of Purchase

Your license is tied to your specific purchase record. Your Gumroad order confirmation, payment receipt, or download history constitutes proof of license, and you should retain it on file.

If LeaseDesk requests verification of your license, you must produce the original order confirmation tied to your name or email address. LeaseDesk does not recognize licenses obtained through informal sharing, transfers, or unauthorized copies, and any such use is prohibited.

To protect the single-user license, files in the Kit may be marked, visibly and invisibly, with your order metadata (including your email address and order number) identifying your licensed copy. You consent to this marking. Removing, altering, or obscuring these identifiers, or distributing files bearing them, is a material breach of these Terms.

Purchases are processed by the third-party platform through which the Kit is sold (currently Gumroad) and are also subject to that platform's terms of service. LeaseDesk is not responsible for the availability or operation of the platform.

Privacy

When you purchase the Kit, LeaseDesk receives your name, email address, and order details from the sales platform. LeaseDesk uses this information to deliver the Kit, provide support, administer refunds, verify and enforce licenses (including the license marking described above), and notify you of updates relevant to your purchase. LeaseDesk does not sell your personal information. The sales platform's handling of your payment information is governed by its own privacy policy. See our Privacy Policy for full details.

Changes to These Terms

LeaseDesk may update these Terms from time to time. The version of the Terms in effect at the time of your purchase governs your license. Updated Terms will be published on the LeaseDesk website and will apply to purchases made on or after the effective date of the update. Updates will not apply retroactively to existing licenses unless required by applicable law.

Termination

LeaseDesk may suspend or terminate your license immediately upon notice if you materially breach these Terms, including any violation of the License Scope or What's Not Permitted sections. Upon termination, your right to access and use the Kit ceases, and you must promptly delete all copies of the Kit in your possession or control. Termination does not entitle you to a refund and does not limit any other rights or remedies available to LeaseDesk.

Indemnification

You agree to defend, indemnify, and hold harmless LeaseDesk, its affiliates, and their respective officers, directors, employees, agents, contractors, and licensors (each, an "Indemnified Party") from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, awards, settlements, penalties, fines, losses, costs, and expenses of every kind (including reasonable legal fees on a full-indemnity basis and the costs of enforcing this indemnity) arising out of or in any way relating to: (a) your use of, access to, or inability to use the Kit; (b) any agreement, document, calculation, or other work product you prepare, deliver, or execute using the Kit; (c) any decision you make or refrain from making in reliance on the Kit; (d) your breach or alleged breach of these Terms; (e) your violation of any applicable law, regulation, or order; (f) your infringement or misappropriation of any intellectual property, privacy, publicity, or other right of any third party; or (g) any claim by a tenant, counterparty, lender, regulator, or other third party arising out of any transaction in which you used the Kit. LeaseDesk reserves the right, at your expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with LeaseDesk's defence. You will not settle any matter affecting an Indemnified Party without LeaseDesk's prior written consent.

Force Majeure

LeaseDesk will not be liable for any delay or failure to perform under these Terms to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, governmental action, internet or telecommunications failures, or third-party service outages.

Assignment

You may not assign, transfer, or delegate these Terms or any rights or obligations under them, by operation of law or otherwise, without LeaseDesk's prior written consent. Any attempted assignment in violation of this section is void. LeaseDesk may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets.

Dispute Resolution

Before commencing any formal proceeding arising out of or relating to these Terms or the Kit, you and LeaseDesk each agree to first attempt in good faith to resolve the dispute informally by written notice to the other party (for LeaseDesk, at support@leasedesk.co) describing the dispute, and to allow thirty (30) days from receipt of that notice for the parties to seek a resolution. Nothing in this section prevents LeaseDesk from seeking injunctive or other equitable relief at any time to protect its intellectual property or to stop unauthorized distribution of the Kit.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, severed from these Terms. The remaining provisions will continue in full force and effect.

Waiver

No failure or delay by LeaseDesk in exercising any right or remedy under these Terms will operate as a waiver of that right or remedy. No waiver will be effective unless made in writing and signed by an authorized representative of LeaseDesk.

Entire Agreement

These Terms, together with your order confirmation, constitute the entire agreement between you and LeaseDesk with respect to the Kit and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to the Kit.

Survival

The provisions of these Terms that by their nature should survive termination or expiration will survive, including the Intellectual Property, Not Legal or Financial Advice, Assumption of Risk, Limitation of Liability, Indemnification, Jurisdiction and Local Law, Dispute Resolution, Waiver, the post-refund and post-termination obligations in the Refund Policy and Termination sections, and this Survival section.
